Services & Transactions Agreement

1. Introduction

This Services & Transactions Agreement (“Agreement”) applies whenever you offer, promote, purchase or engage with services, products, opportunities or other transactions through Artist Launcher. It forms part of the Artist Launcher Terms of Service and should be read together with the Privacy Policy, the Pages Participation Agreement and any other applicable agreement or policy.

By offering or engaging with services through Artist Launcher, you acknowledge that you have read, understood and agree to be bound by this Agreement. If you do not agree, you must not participate in services or transactions through the Platform.

2. Purpose

Artist Launcher provides a trusted ecosystem that enables approved participants to discover, promote and connect with music-related services, opportunities and organisations. Services and transactions are intended to encourage genuine collaboration within the independent music community.

Artist Launcher is not a marketplace, employment agency, talent agency, booking agent or legal representative of any participant. Unless expressly stated otherwise, Artist Launcher acts solely as a facilitator of connections between participants.

3. Services covered

Participants may offer or seek services including, but not limited to:

• artwork and design
• photography and videography
• public relations and marketing
• playlist promotion and radio promotion
• grant writing
• music business consulting
• distribution support
• merchandise and ticket sales
• live performance opportunities

Artist Launcher may approve additional categories from time to time.

4. Eligibility

Only Pages approved by Artist Launcher may offer services or opportunities through the Platform. Participants offering services must:

• provide accurate information
• have authority to offer the services advertised
• comply with applicable laws
• comply with Artist Launcher agreements and policies
• maintain professional standards

Artist Launcher reserves the right to approve, suspend or remove service offerings where reasonably necessary to protect the integrity of the Platform.

5. Responsibilities of service providers

Service providers agree to:

• accurately describe their services
• clearly communicate pricing where applicable
• honour commitments made to participants
• deliver services professionally and honestly
• maintain accurate contact information
• promptly communicate delays or changes
• comply with applicable legal and regulatory requirements

Service providers remain solely responsible for the quality and delivery of their own services.

6. Responsibilities of participants

Participants purchasing or engaging services agree to:

• provide accurate information
• communicate respectfully
• honour agreed payment obligations
• provide information reasonably required for the requested service
• comply with Artist Launcher agreements

Participants remain responsible for exercising their own judgement before entering into agreements with other participants.

7. Artist Launcher’s role

Artist Launcher provides a platform to facilitate introductions, discovery and professional connections. Unless expressly stated otherwise:

• Artist Launcher is not a party to agreements entered into between participants
• Artist Launcher does not supervise or control services provided by participants
• Artist Launcher does not guarantee the quality, suitability or outcome of services
• Artist Launcher does not act as an agent or representative of either party

Participants remain solely responsible for negotiating, entering into and fulfilling their own agreements.

8. Fees & commissions

Participants who choose to offer services, products or commercial opportunities through Artist Launcher may be required to participate in one of Artist Launcher’s approved commercial participation models. Depending on the service or category, this may include:

• an annual listing fee, which allows a participant to maintain and promote their services on the Platform; or
• a revenue share agreement, under which Artist Launcher receives an agreed percentage of the value of completed transactions facilitated through the Platform

The applicable participation model, fees or revenue share arrangements will be clearly communicated and agreed before a participant begins offering commercial services through Artist Launcher.

Applicable taxes remain the responsibility of the relevant participant unless otherwise required by law, and participants are responsible for complying with any applicable tax, accounting or reporting obligations relating to their services. The payment of listing fees or revenue sharing does not create a partnership, agency relationship or joint venture between Artist Launcher and the participant.

9. Payments

Payments may be processed through approved third-party payment providers. Participants are responsible for ensuring payment information is accurate. Artist Launcher is not responsible for payment failures caused by third-party providers.

10. Cancellations & refunds

Refunds, cancellations and service disputes remain the responsibility of the participants involved unless Artist Launcher expressly states otherwise. Where Artist Launcher administers payments, additional refund policies may apply.

11. Disputes between participants

Participants are encouraged to resolve disputes directly and professionally. Artist Launcher may, at its reasonable discretion:

• request information
• temporarily suspend Pages or services
• investigate potential policy breaches
• remove services or Pages
• take action where necessary to protect the Platform

Artist Launcher is not required to mediate or determine contractual disputes between participants.

12. Professional standards

Participants must not:

• misrepresent qualifications
• advertise misleading services
• make false claims
• impersonate another participant
• engage in fraudulent conduct
• manipulate reviews or ratings
• engage in spam or harassment
• misuse Artist Launcher branding

Artist Launcher reserves the right to remove services that fail to meet professional standards.

13. Trust & verification

Certain service providers may be verified under Artist Launcher’s Verification & Trust Policy. Verification assists participants in identifying trusted providers, but does not constitute an endorsement, recommendation or guarantee by Artist Launcher.

14. Suspension & removal

Artist Launcher may suspend or remove services, Pages, listings or participants where reasonably necessary to enforce Platform agreements, investigate complaints, prevent fraud, protect participants, maintain trust, or comply with legal obligations.

15. Limitation of liability

Artist Launcher provides services and transactions features on an “as available” basis. To the fullest extent permitted by applicable law, Artist Launcher is not responsible for:

• services provided by participants
• contractual disputes
• financial losses
• missed opportunities
• business interruptions
• indirect or consequential damages arising from participant transactions

16. Changes to this Agreement

Artist Launcher may update this Agreement from time to time. Updated versions will be published on the Platform together with the revised “Last updated” date. Continued participation after the updated Agreement becomes effective constitutes acceptance of those changes.
